Terms and Conditions
	To be an authorized Affiliate of PalFactor.com, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the PalFactor.com service as a Affiliate. By signing up for the Affiliate Program, you indicate your acceptance of this agreement and its terms and conditions. This agreement describes the entire terms and conditions for participation in the Pal Factor Affiliate Program. In this agreement "Affiliate Site" and "Partner" refers to you (the applicant) and your site. This Agreement will commence on the date your application to join the Affiliate Program is accepted by Pal Factor, and will continue unless terminated by either party. Payments: Affiliate sites will be paid for unique visitors only. "Unique visitor" defined as a maximum of one visit from any IP address. Pal Factor will pay Affiliates $2.50 USD from each payment order made by clients who purchase a product on our site and joined PalFactor.com by clicking a link on a Affiliate Site containing a unique URL provided by Pal Factor. All payments will be done on a monthly basis. On the last day of every month we will total all accumulated sales for each Affiliate Site and automatically send the amount to be paid. No payments will be disbursed for amount less than $50. If money owed to the Affiliate Site is less than $50 the amount will be added to the next month's total. All payments will be made via PayPal.com. We reserve the right to withhold payment to any Affiliate Site that exhibits questionable click through activity. We have developed advanced software and techniques to monitor all Affiliate Sites and highlight those of questionable activity. Banner Placement Rules: The Affiliate Program banner can be placed on any part of your page but must not be placed directly above or below another website banner. The Affiliate Site may place the Affiliate Program code on all appropriate pages to increase click rates. You may not alter Affiliate Program insertion code except for placement purposes. Pal Factor Affiliate Program text links can be used with any of Pal Factor Affiliate Program banners. Pal Factor Affiliate Program Banners and text links are the only recognized links to our partner sites. Responsibility & Liability: You will be solely responsible and liable for the development, operation and maintenance of your site and for all materials that appear on your site. You are responsible to indemnify and hold Pal Factor Affiliate Program and our partners harmless from and against any and all claims, demands, liabilities, expenses, losses, damages or attorney fees arising from any and all claims and lawsuits for libel, slander, copyright and trademark violation as well as all other claims resulting from Affiliate Site's or advertiser's web pages. In case of changes of the terms and conditions you are responsible to comply with all new rules within 10 days of receiving new agreement. If you have any questions about the interpretation of any terms in this Agreement, please contact us. Limitation of Responsibility: We will not be liable for any indirect, special or consequential damages arising in connection with this Agreement or Program. We make no representation that the operation of our site will be uninterrupted or error-free and we will not be liable for the consequences of any interruptions or errors. Pal Factor will not be responsible for loss due to down times, because of complications with the hosting equipment or technical errors. We have got the right to change the Affiliate Program terms and conditions at any time. Prohibition: Spamming on the search engines, news groups or mailing lists is strictly prohibited. Any acquisitions from URL's that contain or promote porn, bestiality and password selling are strictly forbidden. Any click or traffic generation or duplicate memberships whether automated or manually induced are prohibited and will cause termination of this agreement and forfeit all monies due under it. Termination of Agreement: Pal Factor Affiliate Program has got the right to terminate a Affiliate site account at any time without any reasons and/or explanations. The Partner understands and agrees that termination of an account will result in the forfeit of all the Affiliate Site commission. The Partner understands and agrees that Pal Factor Affiliate Program shall be the sole determiner in cases of suspected abuse, fraud or violation of its rules and any decision it makes relating to termination of accounts shall be final and binding. The Affiliate Site caught spamming or using automated scripts or other techniques used to generate factious traffic will be terminated without warning and shall forfeit any commissions due. We reserve the right to cancel Affiliate Site status at any time effective immediately. Either party may cancel this Agreement immediately, at any time by notification in writing by e-mail. To cancel your account please e-mail on: MAIL FORM LINK Automatic Renewal of the Agreement: This contract shall be automatically renewed for successive periods and may be canceled immediately by either party at any time by notification in writing by e-mail. ALL PARTNER SITES MUST COMPLY COMPLETELY WITH ALL THE TERMS AND CONDITIONS SET FORTH HERE. PALL FACTOR AFFILIATE PROGRAM RESERVES THE RIGHT TO WITHHOLD PAYMENT FROM ANY PARTNER SITE THAT VIOLATES ANY OF THESE TERMS.
